Welcome to SafeMeet! By accessing or using our mobile application and website (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these comprehensive Terms of Service. If you do not agree to these Terms, you are not authorized to use the Service. Your continued use of the Service following any modifications signifies your unequivocal acceptance of the updated Terms.
Description of Service
SafeMeet is a personal safety application designed to provide tools for enhancing security during real-world interactions. Features include automated check-ins, emergency alerts, location sharing with trusted contacts, and optional voice recording. You expressly acknowledge and agree that you are solely and exclusively responsible for understanding, obtaining, and maintaining all necessary consents, permissions, and for complying with all applicable local, state, national, and international laws and regulations regarding your use of the Service, particularly concerning any recording features you choose to utilize.
User Responsibilities
You are solely and entirely responsible for your conduct and all activities associated with your use of the Service, and you agree to:
- Account Security & Information Accuracy: Maintain the strict security and confidentiality of your account credentials (including member identification, passwords, and other confidential information) and accept full responsibility for all activities that occur under your account. You agree not to share your login IDs, accounts, or passwords with any third party. You also warrant that all information you provide to SafeMeet, including during account creation, is accurate, complete, and kept up-to-date.
- Compliance with Laws: Comply with all applicable local, state, national, and international laws and regulations in your use of the Service. This includes, without limitation, laws pertaining to privacy, data protection, intellectual property, and the recording of conversations.
- Recording Consent: Obtain all necessary and legally required consents from all parties involved before initiating any recording of conversations through the Service. You understand that recording conversations without proper consent may lead to severe legal penalties, including civil and criminal liability, and you assume all risks and liabilities associated with such actions. In jurisdictions requiring 'all-party consent,' you are responsible for ensuring every participant is aware of and consents to the recording. You acknowledge that SafeMeet is not responsible for your compliance with these laws.
- Acceptable Use & Prohibited Activities: Adhere to SafeMeet's acceptable use policy, which strictly prohibits any activity that is unlawful, harmful, threatening, abusive, vulgar, obscene, defamatory, infringing, invasive of another's privacy, hateful, racially, ethnically, or otherwise objectionable. Prohibited activities include, but are not limited to: breaking the law, spreading false or misleading information, stalking or harassing other users, violating copyright or other intellectual property laws, tampering with or hacking the Service, engaging in spamming or scamming, or any action that degrades the performance, security, or integrity of SafeMeet's systems or networks.
- Not a Substitute for Emergency Services: Understand that SafeMeet is a supplementary tool designed to enhance personal safety and is not a substitute for direct emergency services (e.g., 911 or local emergency numbers), professional security services, or immediate law enforcement intervention. In an emergency, always contact appropriate emergency services directly.
- Reliance at Your Own Risk: Acknowledge that you bear all risks associated with your use of the Service, including reliance on any data, alerts, location information, or features provided. SafeMeet cannot guarantee the uninterrupted, timely, secure, or error-free operation of the Service due to factors beyond its control.
Intellectual Property Rights
All content, features, and functionality on the Service, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of SafeMeet or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use only, strictly in accordance with these Terms. You agree not to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as generally permitted by the Service's functionality.
Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SAFEMEET EXPLICITLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. SAFEMEET DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WHILE WE STRIVE FOR RELIABILITY, SAFEMEET CANNOT AND DOES NOT GUARANTEE THAT ALERTS WILL ALWAYS BE RECEIVED BY YOUR TRUSTED CONTACTS, THAT LOCATION DATA WILL ALWAYS BE ACCURATE OR AVAILABLE, OR THAT ANY RECORDING WILL BE FREE FROM DEFECTS, FULLY CAPTURE ALL AUDIO, OR BE ADMISSIBLE IN ANY LEGAL PROCEEDING, DUE TO FACTORS BEYOND OUR CONTROL (E.G., NETWORK ISSUES, DEVICE STATUS, ENVIRONMENTAL INTERFERENCE, RECIPIENT PHONE STATUS, OR THIRD-PARTY SERVICE FAILURES). YOU USE THE SERVICE AT YOUR SOLE DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR LOSS OF DATA THAT RESULTS FROM THE USE OF THE SERVICE.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SAFEMEET, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF SAFEMEET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH: (I) THE USE OR INABILITY TO USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; (IV) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; (V) YOUR FAILURE TO COMPLY WITH APPLICABLE LAWS REGARDING CONSENT FOR RECORDING OR ANY OTHER LEGAL OBLIGATION; (VI) ANY ACTIONS OR INACTIONS OF YOUR TRUSTED CONTACTS OR ANY OTHER THIRD PARTY; (VII) ANY PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE RESULTING FROM YOUR RELIANCE ON OR USE OF THE SERVICE; OR (VIII) ANY FAILURE OF THE SERVICE TO PROVIDE ALERTS, LOCATION DATA, OR RECORDINGS IN AN EMERGENCY SITUATION. THIS LIMITATION OF LIABILITY APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS.
User Indemnification
You agree to defend, indemnify, and hold harmless SafeMeet, its affiliates, licensors, and service providers, and its respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (i) your violation of these Terms of Service; (ii) your use of the Service, including, but not limited to, your user content, any use of the Service's content, services, and products other than as expressly authorized in these Terms; (iii) your failure to obtain necessary consents for recording or any other violation of applicable laws related to your use of the Service; or (iv) any claims brought by third parties arising from your actions or omissions while using the Service.
Governing Law and Dispute Resolution
These Terms of Service and any dispute or claim arising out of, or related to them, shall be governed by and construed in accordance with the laws of the State of Maryland, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms of Service or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of Maryland, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Service in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
Severability
If any provision of these Terms of Service is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect.
Changes to Terms
SafeMeet reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the website and the Service.
Non-Waiver
No waiver by SafeMeet of any term or condition set forth in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of SafeMeet to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision.
